Anthropic has named eight intermediaries it expects to participate in an Australian retail offer linked to a proposed Nasdaq initial public offering of its Class A common stock, according to an undated Claude Help Center page.

The page sets out how Australian retail investors would be able to apply for shares if the IPO proceeds, while confirming that Anthropic plans to list only on Nasdaq and not on the Australian Securities Exchange.

Anthropic’s proposed IPO is the subject of a registration statement filed for a planned listing on the Nasdaq Global Select Market under a proposed ticker, without an offering size or price range, as Automatica reported in October.Automatica Press (earlier coverage)2 A Capital Brief newsletter subsequently said the prospectus had been released and described Anthropic’s Australian offer documents as not yet lodged with the Australian Securities and Investments Commission, with price, allocation and local distribution arrangements unclear at that time.Capital Brief4

According to Anthropic’s help page on international retail brokers and selling agents, the following firms “are expected to participate” in the proposed Australian retail offering: “Bell Potter, CommSec, LGT Wealth, Macquarie, Morgans, Morgan Stanley Wealth Management, Sharesies, Stake.”Anthropic Help Center1 The company states that, in the listed jurisdictions, it “has not authorized any other firm or platform to offer, or to advertise access to, shares in the proposed retail offerings” and that the page “will be updated if the list changes.”Anthropic Help Center1

The same Anthropic page says that, should the IPO proceed, it is “expected to include an Australian retail offer of newly issued Shares” that “would be made under an Australian prospectus to be lodged with the Australian Securities and Investments Commission.” It describes this material as “not an offer, invitation, solicitation or recommendation to acquire Shares” and says it “will not form part of the Australian Prospectus,” characterising it instead as information “provided only to alert persons to the potential IPO.”Anthropic Help Center1

Anthropic states that a copy of the Australian prospectus will be made available at ipo.anthropic.com once the Australian retail offer opens and the securities described on the webpage are offered. The help page does not state when it expects to lodge the Australian prospectus or open the Australian retail offer.

The issuer communication says that anyone who wants to acquire shares under the Australian retail offer “will need to complete the application form that will be in or will accompany the Australian Prospectus, in accordance with the process that will be set out in the Australian Prospectus and any other instructions given to them by their broker.” It adds that “further information about Anthropic, the IPO, the securities and the risks of investing in Anthropic will be set out in the Australian Prospectus.”Anthropic Help Center1

The same page states that Anthropic “has applied to list its Class A common stock on the Nasdaq Global Select Market under the symbol ‘ANT’” and that it “will not be applying for listing on the Australian Securities Exchange.”Anthropic Help Center1

Anthropic says its proposed IPO is expected to include retail offerings in Australia, Canada, certain member states of the European Economic Area, Japan, Switzerland and the United Kingdom, while stating that it “does not currently intend to list its Class A common stock on any exchange in such international jurisdictions.”Anthropic Help Center1

A Capital Brief newsletter on the IPO said Macquarie Capital was one of 22 firms named as underwriters in the prospectus and outlined several existing commercial links between Macquarie and Anthropic, including data centre investments and infrastructure platforms.Capital Brief4 The same newsletter said the Australian Securities and Investments Commission had described its stance on Anthropic’s offer as “pragmatic and constructive,” comparing it with its approach to a previous large international IPO.Capital Brief4

Bloomberg separately reported that Anthropic had tapped eight firms, including Macquarie Group and Commonwealth Bank of Australia’s CommSec unit, for its Australian retail offer ahead of what it called a “highly anticipated” Nasdaq debut that it characterised as “set to be among the largest ever initial public offerings.”Bloomberg Technology3 The Bloomberg excerpt corroborates the number of firms and the inclusion of Macquarie and CommSec but does not add issuer terms beyond Anthropic’s own page.
